Free template vs custom generated - what you need to know
NDAs are one of the most commonly downloaded free legal templates. But since November 2024, the rules for NDAs in employment contexts have changed dramatically. The 2024 Act makes employment NDAs void unless they meet strict criteria. Even for commercial NDAs, free templates often use vague definitions and unenforceable terms.
Why Free Templates Are Risky
2024 Act non-compliance for employment NDAs
The Maternity Protection, Employment Equality and Preservation of Certain Records Act 2024 voids NDAs that prevent employees from disclosing discrimination or harassment allegations - unless the NDA is an "excepted NDA" meeting strict requirements. Free templates do not include the 14-day cooling-off period, listed persons carve-out, or independent legal advice requirements.
Vague definition of confidential information
Free templates often define confidential information as "all information disclosed" which is too broad to be enforceable. Irish courts expect a reasonable and specific definition. An overly broad NDA may be struck down entirely rather than read down.
No injunctive relief clause
The most effective remedy for an NDA breach is an injunction (court order to stop the disclosure). Free templates often omit the acknowledgement that breach may cause irreparable harm and that injunctive relief may be sought. Without this, obtaining an emergency injunction is harder.
Wrong jurisdiction
Free NDA templates are overwhelmingly drafted for UK or US law. An NDA governed by the laws of England and Wales is enforceable in Ireland but creates unnecessary complications. Irish governing law with Irish court jurisdiction is the correct choice for Irish business relationships.

When to Use a Solicitor Instead
Consider using a solicitor if the NDA relates to an employment settlement involving discrimination or harassment allegations (the 2024 Act requirements are complex), if the information being protected involves trade secrets worth millions, or if the NDA needs to be enforceable in multiple jurisdictions. For standard commercial NDAs between Irish businesses, a self-service NDA is fully effective.
